Terms of Service

These Terms of Service ("Terms") govern your use of Engram, a software product developed and operated by Prasora ("we", "us", "our"). By purchasing, installing, or using Engram, you agree to be bound by these Terms.

1. Product

Engram is a locally-installed software tool that provides persistent memory for AI coding assistants. It captures, indexes, and retrieves project knowledge so your AI retains context across sessions. All processing occurs entirely on your machine.

2. Subscription and Pricing

• Regular price: $1,999 per seat, per year, billed annually.
• Launch price: $999 per seat, per year (available until April 15, 2026).
• Volume discounts: 20% off for 5 or more licenses; 25% off for 50 or more licenses.
• All prices are in US dollars.

3. Free Trial

Engram includes a 15-day free trial with full functionality. No credit card is required to start the trial. The trial begins when you first run the software.

4. Money-Back Guarantee

If you purchase a license and are not satisfied, you may request a full refund within 30 days of purchase. No questions asked. Contact hello@prasora.com to request a refund.

5. License and Activation

• Each license purchase generates one or more activation codes.
• Each activation code must be activated on a specific machine using its unique machine code.
• Once activated, the code is permanently bound to that machine and cannot be moved to a different machine.
• One email address is used per machine activation. The email cannot be changed after activation.
• Licenses are non-transferable and may not be resold, shared, or sublicensed.

6. License Verification

• Engram performs a daily license verification ("heartbeat") to confirm your subscription is active.
• The heartbeat transmits only your machine code and license ID. No code, project data, or memory content is transmitted.
• If the heartbeat cannot reach our servers, there is a 7-day offline grace period during which Engram continues to function normally.
• After 7 days without a successful heartbeat, Engram will enter read-only mode until connectivity is restored.

7. Subscription Expiry

When your subscription expires:

• Engram enters read-only mode. Your existing memories remain fully accessible, and your AI can still query and use them.
• New knowledge capture is disabled until you renew.
• Nothing is deleted. Your data remains on your machine.

8. Data and Privacy

All code analysis, knowledge extraction, and memory storage happens locally on your machine. We do not have access to your code, project files, or memory database. For full details, see our Privacy Policy.

9. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble the software.
• Circumvent or attempt to circumvent the license verification system.
• Share, redistribute, or make the software available to unauthorized users.
• Use the software for any unlawful purpose.

Prasora reserves the right to revoke licenses in cases of abuse, fraud, or violation of these Terms.

10. Updates

All software updates released during your active subscription are included at no additional cost. We may update the software at our discretion to improve functionality, fix bugs, or address security issues.

11. Disclaimer of Warranties

Engram is provided "as is" without warranties of any kind, express or implied, beyond the 30-day money-back guarantee described in Section 4. We do not warrant that the software will be error-free or uninterrupted.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Prasora shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Engram. Our total liability shall not exceed the amount you paid for your subscription in the 12 months preceding the claim.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the software. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
